The Constitution and By-Laws detail the rules governing the operation and management of the United Rays Corvette Club of Pittsburgh PA Inc. The basic operating instructions and rules are approved by the Executive Board and are the guideline for day-to-day operation. The most recent edition of Robert's Rules of Order shall be the guide for all parliamentary decisions.
CONSTITUTION
Article 1: General Information
Section 1 — Name: The United Rays Corvette Club of Pittsburgh PA Inc. established in June 1977 is a nonprofit corporation; Incorporated January 16, 2017. The official name shall be known as United Rays Corvette Club of Pittsburgh, PA Inc., a.k.a. United Rays Corvette Club, hereafter referred to as "United Rays" or "URCC."
Section 2 — Mailing Address: 11650 Penn Hills Drive, #17044, Penn Hills, PA 15235.
Section 3 — Fiscal Year: The fiscal year of the club shall commence on January 1 and end on December 31 of each calendar year.
Article 2: Mission
Section 4 — Mission Statement: To preserve the Corvette as America's true sports car. Promote the enthusiasm, camaraderie and fellowship developed in association with the pride of Corvette ownership. Provide opportunities for members to participate, collaborate and compete in local, regional, national and international Corvette events. Support and contribute to community outreach programs for the betterment of the communities.
Article 3: Approved Logo / Seal / Standard Colors
Section 5.1 — United Rays Logo: Shall be a circular design embodying a custom C5 type flag surrounded by the inscription "United Rays Corvette Club Pittsburgh, PA Established 1977."
Section 5.2 — Lady Rays Logo: The subsidiary logo shall be a diamond-like design embodying a custom C7 type flag with a pair of black stilettos with red heels and gold bottoms.
Section 5.3 — Logo Revisions: Any new logo ideas/design must be submitted as a proposal to the Executive Board, who will review and respond within 30 days, then present to the membership for final approval.
Section 5.4 — Club Seal: The URCC seal shall have a raised imprinted circular design embodying a custom C5 type flag surrounded by the inscription "United Rays Corvette Club Pittsburgh, PA Established 1977."
Section 5.5 — Standard Colors: The URCC standard colors are Black and Gold. Any logo created in association with the URCC is owned by the URCC.
Article 4: General Rules of Conduct
Section 6 — Rules of Conduct: All officers and members shall conduct themselves in a moral, ethical and professional manner in all activities either directly or indirectly connected to or on behalf of the URCC. Officers and members shall not conduct themselves in any manner of prejudice against nor favoritism toward any individual in any affairs concerning the United Rays Corvette Club.
BY-LAWS
Article 5: Executive Board
Section 7.1 — Executive Board Members: The Executive Board shall consist of a President, Vice President, Secretary, Treasurer, Sergeant at Arms and Governor — directly elected by the membership.
Section 7.2 — Executive Board Role: All Executive Board Members are sworn to uphold the Constitution, By-Laws and Operating Procedures and to make decisions in the best interest of the URCC.
Article 6: Membership
Section 8.1 — Full Member: All members with Corvette ownership are required to maintain full membership and pay annual dues on time. Each full member has one vote. Full membership is by invitation only; sponsorship is provided by a current full or associate member.
Section 8.2 — Associate Member: Anyone who has demonstrated interest in the URCC and shown support for its goals. Associate members pay annual dues and shall not participate in voting.
Section 8.3 — Honorary Member: Appointed by the Executive Board on a year-to-year basis. No dues required; cannot hold office or vote. Reserved for persons whose influence resulted in the enhancement and growth of the URCC.
Section 8.4 — Legacy Member: See Appendix A — Legacy Recognition Program.
Section 8.5 — Membership Period: The period of membership for all members will run from January through December.
Section 9 — Affiliations: The URCC is affiliated with the United Council of Corvette Clubs (UCCC) and is a founding member of the Corvette Club of Western Pennsylvania (CCWP). The Governor will represent the URCC at all affiliated organizations.
Section 10 — Resignation: Any member may resign by directing a letter of resignation to the Secretary. Resignation shall be effective on receipt of the letter.
Section 11 — Reinstatement: Members who resigned in good standing will be entitled to reinstatement at their previous membership status upon payment of dues.
Section 12 — Dues: Dues are determined by the Executive Board before the December meeting of the next calendar year. Membership will automatically lapse for nonpayment by January 31st. Inactive members reinstating within the calendar year shall pay full dues plus a 20% late fee. Honorary Members — No Dues.
Article 7: Meetings
Section 13.1 — General Business Meeting: Held on the 2nd Sunday of each month at a location and time to be determined. Exceptions will be published on the website.
Section 13.2 — Executive Board Meetings: Held on the Tuesday before the regular Business Meeting. The President shall preside; in absence: Vice President, Treasurer, Secretary, Governor.
Section 13.3 — Annual Budget Meeting: The URCC annual budget shall be presented at the general business meeting held the second Sunday of January each year.
Section 13.4 — Special Meetings: May be called at any time by the President. Notification including date, time, location and nature of business shall be emailed to the membership 5 days prior.
Section 13.5 — Quorum at Meetings: A minimum of two-thirds of total full members shall constitute a quorum. For Executive Board meetings, more than half of Executive Board members must be present. No Executive Board member may vote by proxy.
Article 8: Elected Officers
Section 14.1 — Governance: The governance of the URCC shall be vested in the Executive Board, which shall have complete and direct responsibility for URCC management.
Section 14.2 — Nominations: To be eligible for the Executive Board you must be a full active member with a minimum of twelve consecutive months in the club, attendance at a minimum of two meetings per quarter, and participation on at least one committee.
Section 14.3 — Requirements: An Executive Board member must be a URCC member in good standing who has attained the age of twenty-one (21) years.
Section 14.4 — Term Fulfillment — President: In the event the President cannot fill his/her term, the Vice President shall assume the position.
Section 14.5 — Term Fulfillment — Board Member: In the event an Executive Board member cannot serve his/her full term, the President shall appoint a successor to complete the term.
Section 14.6 — Members: The Executive Board shall consist of 6 elected members: President, Vice President, Secretary, Treasurer, Governor, and Sergeant at Arms.
Section 14.7 — Service Terms: Executive Board members can only be elected for two consecutive (2) year terms in any given position.
Article 9: Duties of Elected Officers
Section 15.1 — President: Provides leadership and general charge and supervision of the affairs of the URCC. Presides at regular club meetings, maintains order, announces business in proper order, organizes committees, promotes club participation and harmony, and maintains relationships with sponsors and other clubs.
Section 15.2 — Vice President: Assists the President, presides at meetings in the President's absence, and coordinates social and charitable activities.
Section 15.3 — Secretary: Accurately records minutes of all meetings; maintains a history file; answers all club correspondence as directed; maintains a current version of the Constitution and By-Laws on the URCC website.
Section 15.4 — Treasurer: Manages the financial affairs of the club; reconciles bank statements; manages cash flow and deposits; presents the treasurer's report each month; prepares and files all required federal, state and local tax forms.
Section 15.5 — Governor: Represents the URCC at all United Council of Corvette Club (UCCC) meetings; ensures all URCC points and documents are completed and sent to the UCCC; provides a written quarterly governor's report on all national and regional UCCC events.
Section 15.6 — Sergeant at Arms: Carries out the instructions of the President; maintains order at each business meeting; performs administrative tasks including the election process; distributes and collects documents at meetings and records attendance.
Section 15.7 — Removal from Office: Failure to uphold the oath shall be cause for removal. The process includes an initial meeting with the Executive Board, a verbal warning, a written submission, and the right to defend one's position before a vote.
Article 10: Webmaster
Section 16.1 — Webmaster: The duties of the Webmaster include maintaining the website under the direction of the Executive Board.
Article 11: Voting
Section 17.1 — Voting: All actions including election of officers and amendment of the Constitution and By-Laws shall be by a majority vote of the members at a predesignated time and date.
Section 17.2 — Vote: Each full member shall be entitled to one (1) vote.
Article 12: Committee Information
Section 18.1 — Committee Chair: Appointed at the will of the President; leads the committee; sets course and direction; ensures adequate minutes are kept; reviews committee charge relative to the objectives of the President.
Section 18.2 — Committee Budget: The committee chair develops a proposed budget for events and submits it to the President. Any event requiring more than the budgeted amount must be presented to the Executive Board. Within two weeks of a completed event, the chair will present a profit and loss report to the Executive Board.
OPERATING PROCEDURES
Article 13: Events
Section 19 — Calendar of Events: An initial Calendar of Club Events shall be formulated by the Executive Board and submitted to the membership no later than the January business meeting. Any club event proposed after the calendar is approved shall be reviewed by the Executive Board to assure there is no conflict.
Article 14: Potential Membership
Section 20.1 — Potential Member: Membership is made by presenting a completed application along with the first year's dues to the Executive Board. Applications are reviewed within 45 days. Any member with dissenting votes shall present just cause to the Executive Board and the sponsor.
Section 20.2 — Membership Materials: Upon joining URCC, each new member will be granted access to the URCC website.
Article 15: Club Property / Finance
Section 21.1 — Club Property: All club equipment, papers, pictures and records shall remain the property of the URCC. All club membership records shall be held confidential and accessible only to club officers. An inventory of club property shall be maintained and inventoried biannually by the Vice President.
Section 21.2 — Finance: The Treasurer shall make available the Club Bank Statements for quarterly review at the January, April, July and October Executive Board Meetings.
Article 16: Expenditures
Section 22.1 — Expenditure of Club Funds: The Executive Board is authorized to approve expenditures up to $1,000 without club membership approval. Expenditures of $1,000 and above require approval of the majority of voting club members present at the regular club meeting.
Section 22.2 — Reimbursement: Reimbursement for expenditures shall be submitted with receipt within 30 days of the incurred expense and pre-approved by the President.
Article 17: Nominations and Elections
Section 23.1 — Nominations: All nominations must be submitted by the end of the September general business meeting. By September 30th the Secretary will publish all nominees. If no one is nominated: the President may appoint, the current officer's term may be extended, or an Executive Board member may assume 2 positions.
Section 23.2 — Elections: The Executive Board will determine how elections will be held.
Article 18: Awards Program
Section 24 — Awards: Members will be recognized for outstanding contributions through awards selected by the Executive Board and the President. Yearly awards include: Exceptional Service Award, Outstanding Service Award, and Service Award. The Executive Board may also determine additional award categories.
Article 19: Revisions
Section 25 — Revisions: The principal office, mailing, and email addresses can be changed as needed with a majority vote by the Executive Board and shall not require an amendment of these By-Laws.
Article 20: Personal Liability
Section 26 — Personal Liability: The Executive Board will determine yearly what liability insurances are required for the operation of the club.
Article 21: Expulsion
Section 27 — Expulsion: Any member may be suspended for infraction of the club By-Laws or for any other cause if a majority of the Executive Board deems such suspension to be in the best interest of the club. The member shall be immediately informed and given a reasonable opportunity to be heard by the Executive Board.
Article 22: Amendments
Section 28.1 — Amendments to the Constitution and By-Laws: The Executive Board may initiate amendments. Any ten members may petition the Executive Board to put a proposed amendment to vote. Members shall be advised in writing of any proposed amendment at least one month prior. This Constitution/By-Laws may be altered by a two-thirds majority of votes cast by the membership.

Appendix A: Legacy Recognition Program
The Legacy Recognition Program provides recognition for time of service in the United Rays Corvette Club. Program milestones and gifts by years of service:

30 yrs Reduction in dues by 25%

A previous United Ray member can regain previous years of service by completing a probation period of two years with Executive Board approval, paying dues for two consecutive years, and participating actively in 70% of all URCC activities.
Appendix B: Notes
The original constitution was modified in 2008 under the leadership of Ernie Groover. Revised November 16, 2016 under Tia Harris. Amended February 10, 2017 to include the Legacy Recognition Program under Louis McCauley. Reconstructed September 25, 2020 under Ruben Collins, and ratified by the Executive Board.
